By accessing or using ELVIRA's digital concierge platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.
These Terms constitute a legally binding agreement between you and ELVIRA ("we," "our," or "us") regarding your use of our Services.
ELVIRA provides a digital concierge platform designed for hotels to enhance guest experiences. Our platform allows hotels to offer digital services to their guests, including room service ordering, activity bookings, hotel information, and live chat with hotel staff.
The Services are available to two types of users:
To use our Services as a Hotel Partner, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Hotel guests access the platform using a temporary verification code provided by the hotel. This code is linked to their room and expires after checkout. Guests are responsible for keeping their verification code secure during their stay.
Hotel Partners can choose from various subscription plans based on hotel size and feature requirements. Pricing information is available on our website or through direct consultation with our sales team.
Hotel Partners agree to pay all fees associated with their chosen subscription plan. Payments are due in advance, either monthly or annually, depending on the selected billing cycle.
We use trusted third-party payment processors. By providing payment information, you authorize us to charge your designated payment method for all fees incurred.
All fees are exclusive of applicable taxes. Hotel Partners are responsible for paying all taxes associated with their use of our Services.
Our refund policy is outlined in your subscription agreement. Generally, subscription fees are non-refundable except as required by law or as specifically provided in these Terms.
These Terms will remain in effect until terminated by either you or us.
Hotel Partners may terminate their subscription at any time by providing written notice. Termination will be effective at the end of the current billing cycle.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of the Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

The Services, including all content, features, and functionality, are owned by ELVIRA or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant Hotel Partners a limited, non-exclusive, non-transferable, revocable license to use our Services as outlined in their subscription plan. Hotel guests receive a limited license to use the platform during their stay.
If you provide us with feedback or suggestions regarding our Services, you grant us the right to use this feedback without restriction or compensation.
Our Services may include links to third-party websites or services that are not owned or controlled by ELVIRA. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELVIRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL ELVIRA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY A HOTEL PARTNER IN THE LAST TWELVE MONTHS.
You agree to defend, indemnify, and hold harmless ELVIRA and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
These Terms, together with any additional terms and conditions incorporated herein by reference, constitute the entire agreement between you and ELVIRA regarding the Services and supersede all prior agreements and understandings.
